LAWSOFKENYA.COM END USER LICENCE AGREEMENT

The LawsofKenya.com website, its software, contents, documentation and other materials (hereinafter collectively the "Website") are made available for a fee (herein referred to as the Access Fee), subject to the terms and conditions of this End User Licence Agreement (the “EULA”) and the Guarantees of Privacy, Terms and Policies and the Disclaimer, in order to allow you to use the Website. We encourage your feedback and suggestions.

Before using the Website or any component thereof, you should carefully read the following terms and conditions.

REGARDLESS OF HOW YOU ACQUIRE ACCESS TO THE WEBSITE (ELECTRONICALLY, PRE-LOADED, ON MEDIA OR OTHERWISE), USING THE WEBSITE SHALL INDICATE YOUR ACCEPTANCE OF THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU MAY NOT USE THE WEBSITE.

1. GRANT OF LICENCE:

1.1 Subject to the payment of the Access Fee, and further subject to the terms and conditions of this EULA, SoftLaw Limited(referred to in this EULA as "SoftLaw"), the proprietors of LawsofKenya.com, grants you (an entity or a person) a non-transferable, non-exclusive, perpetual licence to use the Website.

1.2 You may not reverse assemble, reverse compile, decompile, translate or otherwise attempt to discover the source code of any component of the Website that is provided in object code, byte code, or executable code form only, except as permitted by law without the possibility of contractual waiver.

1.3 In addition, unless otherwise specified in this EULA, you may not reproduce, prepare derivative works of, display, perform, rent, lease, sell, license, sublicense, assign, distribute or otherwise transfer the Website or any components thereof. You may not remove, cover, or alter any of the proprietary notices, labels or marks in or on the Website, its components, or associated media or documentation.

1.4 You agree that any information, feedback and/or materials including, without limitation, bug fixes, error corrections and enhancements, you may provide to SoftLaw are non-confidential and you grant SoftLaw a non-exclusive, worldwide, royalty free, fully paid up, perpetual and irrevocable licence under all intellectual property rights to use, make, execute, reproduce, transmit, display, perform, prepare derivative works of, distribute, license, sublicense, sell, lease or otherwise transfer the information, feedback and/or materials and derivative works thereof and such licence includes the right of SoftLaw to sublicense, assign and/or transfer all the rights and licences above to others, and allow others to further sublicense such rights indefinitely.

1.5 You acknowledge that under this EULA you obtain only the rights to the Website and components thereof as expressly stated herein or in any other licence agreement identified or referenced below. No right, title or interest in or to any copyrights, trademarks, patents or other proprietary or intellectual rights relating to the Website is transferred to you.

1.6 You expressly acknowledge that all intellectual property rights in the Website are owned by SoftLaw and are protected by Kenyan and other applicable copyright laws and international treaty provisions.

1.7 SoftLaw retains all rights not expressly granted in this EULA or in a licence agreement identified or referenced below.

2 TERM AND TERMINATION

2.1 On the exhaustion of your Access Fee your licence will terminate.

2.2 SoftLaw may terminate your licence if you fail to comply with the terms of this EULA.

2.3 Upon termination of your licence, SoftLaw shall not refund any unexhausted Access Fee.

3 DISCLAIMER OF WARRANTY AND LIABILITY

3.1 SoftLaw does not warrant or guarantee that the operability of any of your software running with the Website will be maintained with any subsequent or generally available versions of the Website.

3.2 THE WEBSITE AND ALL RELATED SYSTEMS OF A TECHNOLOGICAL OR COMMUNICATIONAL NATURE ARE PROVIDED AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. YOU ARE SOLELY RESPONSIBLE FOR DETERMINING THE APPROPRIATENESS OF USING THE WEBSITE AND ALL RELATED SYSTEMS OF A TECHNOLOGICAL OR COMMUNICATIONAL NATURE. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE WEBSITE REMAINS WITH YOU INCLUDING, BUT NOT LIMITED TO, THE RISKS OF WEBSITE OR PROGRAM ERRORS, DAMAGE TO OR LOSS OF DATA, PROGRAMS OR EQUIPMENT, AND UNAVAILABILITY OR INTERRUPTION OF OPERATIONS. IN NO EVENT WILL SOFTLAW BE LIABLE FOR ANY LOST PROFITS, LOST SAVINGS, LOST REVENUE, LOST DATA OR FOR ANY DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, EVEN IF SOFTLAW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES. IN ADDITION, AND WITHOUT PREJUDICE TO ANY OF THE ABOVE, SOFTLAW WILL NOT BE LIABLE FOR ANY DAMAGES CLAIMED BY YOU BASED ON ANY THIRD PARTY CLAIM.

4 GENERAL

4.1 All terms and conditions, which by their nature should survive the termination or expiration of this EULA, shall survive. If any provision, in whole or in part, of this EULA is declared unenforceable at law, the rest of the provisions of the EULA shall remain in effect.

4.2 Only a written agreement signed by both yourself and SoftLaw Limited can modify this EULA.

4.3 This EULA is entered into in Kenya and governed by the laws of Kenya without regard to conflict of law principles.
